THE CONTRACTUAL AND LICENSE TERMS

The subject that adds any and every work (further also as "Work") to the web page: www.verve.gallery hereby declares (further also as "Subject") that it is in accordance with the Copyright Act by a person entitled to exercise property law to the Work and that he can and has the right to use the Work in the scope mentioned below. The given subject is also committing himself to indemnify the company PRAETORI LtD., with its registered office: Pavlovičovo námestie 20, 080 01 Prešov, Business ID: 46 033 947, VAT reg. no.: 2023212917, entered in the Commercial Register of the Prešov District Court, Section Sro, Insert No: 24132 / P (further as "PRAETORI") all damages and / or costs incurred by using the Work if it proves that the Subject was not entitled to grant PRAETORI permission to use the Work as described below. The Subject explicitly agrees with the fact that PRAETORI is at any time and without giving any reason entitled to remove the Work added by the Subject to the page: www.verve.gallery from this website without having any claims towards the PRAETORI under the given circumstances.

AT THE MOMENT OF ADDING ANY AND EVERY WORK ON THE SITE: WWW.VERVE.GALLERY IS THE SUBJECT GIVING THE COMPANY PRAETORI LTD., WITH ITS REGISTERED OFFICE: PAVLOVIČOVO NÁMESTIE 20, 080 01 PREŠOV, BUSINESS ID: 46 033 947, VAT REG. NO.: 2023212917, REGISTERED IN THE COMMERCIAL REGISTER OF THE PREŠOV DISTRICT COURT, SECTION SRO, INSERT NO: 24132 / P LICENSE TO THE GIVEN WORK UNDER THE FOLLOWING CONDITIONS:

(A) THE SUBJECT GIVES PRAETORI CONSENT TO USE THE WORK OR ANY PART THEREOF (FURTHER ONLY LICENSE) IN AN UNLIMITED EXTENT (WITHOUT TERRITORIAL AND FACTUAL LIMITATION) FOR THE ENTIRE DURATION OF THE PROPERTY RIGHTS.
(B) PRAETORI IS OBLIGED TO PAY THE SUBJECT FOR PROVISION OF A LICENSE A REWARD UNDER THE FOLLOWING TERMS AND ACCORDING TO THE FOLLOWING SPECIFICATION:

• The reward is 45% of the cost of the work, excluding VAT, which was sold through verve.gallery and applies to all digital derivatives of the Subject's work
   
• THE MINIMUM AMOUNT OF THE PAID REWARD IS DETERMINED BY PRAETORI, CURRENTLY € 100
• PRAETORI SETS A BOOKING TIME THE REWARD'S GENERATION, CURRENTLY 30 DAYS
• AFTER THE REWARD'S GENERATION PRAETORI HAS 14 DAYS TO PAY IN CASE THE SUBJECT IS A NATURAL PERSON, IF THE SUBJECT IS A LEGAL ENTITY 14 DAYS STARTS TO LAPSE ONLY AFTER PRAETORS RECEIVES THE RELEVANT INVOICE FROM THE SUBJECT AND CONFIRMS ITS CORRECTNESS
• IN CASE OF CANCELLATION OF THE ORDER ALSO THE APPROPRIATE REMUNERATION FOR SALE WILL BE AUTOMATICALLY CANCELED

(C) PRAETORI IS ENTITLED TO USE THE WORK OR ANY PART OF IT, IN PARTICULAR, IN THE MANNER IN THE SCOPE OF § 19 ART. 4 OF THE COPYRIGHT ACT AS WELL AS BY ANY OTHER MEANS KNOWN AT A GIVEN TIME WHILE TAKING INTO ACCOUNT THE NATURE OF THE WORK.
(D) AN ENTITY GRANTS A NON-EXCLUSIVE LICENSE. THE SUBJECT GIVES PRAETORI (AS AN ACQUIRER OF LICENSE) PERMISSION AND THE SUBJECT IS ENTITLED TO GRANT A THIRD PARTY THE RIGHT TO USE THE WORKS OR ANY PART OF IT WITHOUT NOTICE IN ACCORDANCE WITH PARAGRAPH (C) OF THIS ARTICLE WITHIN THE SCOPE OF THE SUB-LICENSE. THE SUBJECT HEREBY GIVES PRAETORI THE PRIOR WRITTEN CONSENT TO ACCEDE THE LICENSE AND THE SUBJECT IS ENTITLED TO ACCEDE THE LICENSE TO A THIRD PERSON.

At the moment of adding any and every Work on the site: www.verve.gallery is the Subject giving the company PRAETORI LtD., with its registered office: Pavlovičovo námestie 20, 080 01 Prešov, Business ID: 46 033 947, VAT reg. no.: 2023212917, registered in the Commercial Register of the Prešov District Court, Section Sro, Insert No: 24132 / P license to the given Work under the following conditions:

(A) The Subject gives PRAETORI consent to use the Work or any part thereof (further only License) in an unlimited extent (without territorial and factual limitation) for the entire duration of the property rights.
(B) PRAETORI is obliged to pay the Subject for provision of a license a reward under the following terms and according to the following specification:

• The reward is 18% of the cost of the work, excluding VAT, which was sold through verve.gallery and applies to all print and production derivatives of the Subject's work
   
• the commission from additional services such as framing, transport, payment transfer fees, are not included in the reward for Subject
• The minimum amount of the paid reward is determined by PRAETORI, currently € 100
• PRAETORI sets a booking time the reward's generation, currently 30 days
• after the reward's generation PRAETORI has 14 days to pay in case the Subject is a natural person, if the Subject is a legal entity 14 days starts to lapse only after PRAETORS receives the relevant invoice from the Subject and confirms its correctness
• In case of cancellation of the order also the appropriate remuneration for sale will be automatically canceled

(C) PRAETORI is entitled to use the Work or any part of it, in particular, in the manner in the scope of § 19 Art. 4 of the Copyright Act as well as by any other means known at a given time while taking into account the nature of the Work.
(D) An entity grants a non-exclusive license. The Subject gives PRAETORI (as an acquirer of license) permission and the Subject is entitled to grant a third party the right to use the Works or any part of it without notice in accordance with paragraph (c) of this Article within the scope of the sub-license. The Subject hereby gives PRAETORI the prior written consent to accede the license and the Subject is entitled to accede the license to a third person.

The Subject that adds any and every work (further only as "Work") to the page: www.verve.gallery and determines its purchase price hereby further declare (" further only as Subject"):

(A) that he is the author and / or an owner of the Work,
(B) that he is entitled, without any limitation, to sell the Work to a third party (purchaser) at the proposed purchase price and under the terms and conditions published at: www.verve.gallery,
(C) that he explicitly agrees that PRAETORI is entitled at any time and without giving any reason, to remove the Work added by the Subject at: www.verve.gallery, from this site, without having any claims towards the PRATETORI under the given circumstances.
(D) to indemnify PRAETORI for all damages and / or costs incurred as a result of, or in connection with, any untrue statement of any claim made by the Subject or on the basis of or in connection with a breach of generally binding legal regulations.
(E) to settle all and any claims arising for the owner of the work and / or the author from generally binding legal regulations.

At the moment of adding any and every Work on the site: www.verve.gallery and determination of its purchase price from the side of Subject, is the Subject represented by the company PRAETORI LtD., with its registered office: Pavlovičovo námestie 20, 080 01 Prešov, Business ID: 46 033 947, VAT reg.no.: 2023212917, registered in the Commercial Register of the Prešov District Court, Section Sro, Insert No: 24132 / P as a business representative, concluding an Agreement about business representation according to § 652 and the following Business register under the following conditions:

• PRAETORI will via www.verve.gallery in the name and on account of the Subject perform an activity to conclude a sales contract between the Subject as a seller and a natural or legal person, who is interested in buying the Work from the Subject as a seller at the purchase price determined by the Subject and published at Work at www.verve.gallery,
• the rights and obligations between the seller and buyer for the purchase of the Work are determined by the business conditions for purchase through www.verve.gallery (further only as "Terms") published on www.verve.gallery, in the business conditions section,
• The Subject is explicitly authorizing PRAETORI to conclude sales contracts on the Work in the name and on account of the Subject through and under the terms and conditions set forth at www.verve.gallery,
• The buyer will pay the purchase price for the sale of the Work on the PRAETORI account,
• The Subject is obliged to reimburse PRAETORI for the performance of the agent's activity a commission at the height of 20% from the price of the Work, excluding VAT. PRAETORI adds (will add) VAT at the height according to generally binding legal regulations to this amount of commission,
• PRAETORI is required to assign to the Subject the purchase price paid for the Work, received from the buyer in accordance with the Terms and Conditions and reduced by the amount of the commission (VAT will be added to it) within 30 days from the date of buyer's property rights to Work,
• The Subject is obliged within 10 days from the date of payment of the purchase price for the Work in full amount to the PRAETORI account, to deliver at its own cost the Work to the place designated by PRAETORI for the purpose of sending it to the buyer,
• PRAETORI is authorized to act as an agent without a territorial limitation,
• The Subject is obliged to take over the Work from PRAETORI at his own expenses, within 3 days of the request of the PRAETORI delivered to the Subject at the latest ,
• other rights and obligations between PRAETORI and the Subject are governed by the generally binding legal regulations valid in the territory of the Slovak Republic.
